Severability
If any part of the Agreement is unlawful, void or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of any remaining provisions.
Governing Law
The Agreement will be governed and interpreted pursuant to the laws of the Commonwealth of Virginia, notwithstanding any principles of conflicts of law. You specifically consent to personal jurisdiction in the State of Florida in connection with any dispute between you and Redwood Partners arising out of the Agreement or pertaining to the subject matter hereof. The parties to the Agreement each agree that the exclusive venue for any dispute between the parties arising out of the Agreement will be in the state and federal courts in Naples, FL.
Waiver
No delay or omission by Redwood Partners in exercising any right, power, or remedy under the Agreement shall impair or detract from such right, power, or remedy or operate as a waiver thereof.
Miscellaneous
If any part of the Agreement is unlawful, void, or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of the remaining provisions.
You agree that no joint venture, partnership, employment, or agency relationship exists between you and Redwood Partners as a result of the Agreement or use of the Site.
The Agreement constitutes the entire agreement among the parties relating to this subject matter. It supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Redwood Partners with respect to the Site.
A printed version of the Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to the Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
Redwood Partners may revise the Agreement at any time by updating this posting.
